Agreement to Terms
By accessing scaledgtm.com or engaging our services, you agree to these Terms of Service. If you disagree, do not use our services.
Services Overview
ScaledGTM provides enterprise-grade outbound infrastructure deployment services, including:
- Domain registration and management
- Email inbox setup and warmup
- Prospect list building and verification
- Outbound campaign copywriting and management
- Meeting booking and qualification
Eligibility
Our services are designed for B2B businesses with:
- High-ticket offers (typically $25K+ contract value)
- Established fulfillment and sales operations
- The operational capacity to handle increased pipeline volume
We reserve the right to refuse service to any business that does not meet our qualification criteria.
Service Scope
What We Provide:
- Infrastructure deployment (domains, inboxes, automation)
- List building and prospect research
- Campaign copywriting and management
- Reply management and meeting booking
- Deliverability monitoring and optimization
What We Don't Provide:
- Sales closing (you handle meetings we book)
- Fulfillment or service delivery
- Guarantee of specific results
- Refunds for campaigns that don't perform due to weak sales conversion or fulfillment issues
Infrastructure Ownership
You Own:
- All domains registered on your behalf
- All email inboxes and accounts
- All prospect lists and contact data
- All messaging and copy frameworks
We Manage:
- Technical operations and maintenance
- Deliverability optimization
- Campaign execution and monitoring
Upon termination, all infrastructure remains yours. We delete our copies of your data upon request.
Engagement Terms
Engagement Fee:
- Covers 90 days of infrastructure, labor, and operations
- Determined based on your dealflow capacity and market size
- Non-refundable once work has commenced
Timeline:
- Infrastructure deployment: 8-21 days
- First results typically within 1-2 weeks of launch
- Consistent pipeline flow by week 4
Performance:
We deploy infrastructure based on proven methodologies, but results depend on factors outside our control including:
- Your close rate and sales team performance
- Your fulfillment quality and reputation
- Market conditions and ICP accuracy
- Your responsiveness to booked meetings
Client Responsibilities
You are responsible for:
- Providing accurate ICP and market information during onboarding
- Responding to booked meetings promptly
- Maintaining strong fulfillment and service delivery
- Closing deals from meetings we generate
- Paying invoices on time
Failure to meet these responsibilities may result in poor outcomes and does not entitle you to a refund.
Refund Policy
No Refunds After Work Commences:
Once infrastructure deployment begins (domain registration, inbox setup, list building), the engagement fee is non-refundable.
Why:
- Infrastructure costs are incurred upfront
- Labor and setup cannot be recovered
- Your results depend heavily on your sales and fulfillment performance
Early Termination:
You may terminate at any time, but fees paid are non-refundable. You retain ownership of all infrastructure built.
Compliance and Legal Use
You agree to:
- Use our services only for legal, compliant outbound campaigns
- Comply with GDPR, CAN-SPAM, CASL, and all applicable laws
- Not use our infrastructure for spam, fraud, or illegal activities
- Maintain accurate and truthful messaging in your campaigns
We reserve the right to:
- Pause or terminate campaigns that violate compliance standards
- Report illegal activity to authorities
- Terminate partnerships immediately for violations
Confidentiality
Both parties agree to:
- Keep proprietary information confidential
- Not share campaign strategies, messaging, or data with competitors
- Maintain discretion about the partnership
We will never disclose your campaigns, messaging, or results to other clients or the public without your explicit permission.
Intellectual Property
Your IP:
- Your brand, messaging, and positioning remain yours
- We do not claim ownership of your content
Our IP:
- Our methodologies, systems, and processes remain ours
- You may not reverse-engineer or replicate our infrastructure for commercial use
Limitation of Liability
To the maximum extent permitted by law:
- ScaledGTM is not liable for lost profits, revenue, or opportunities
- Our total liability is limited to the amount you paid for services
- We are not responsible for outcomes resulting from your sales team performance, fulfillment quality, or market conditions
We do not guarantee:
- Specific number of meetings, deals, or revenue
- That all campaigns will perform identically
- Results if your ICP, offer, or fulfillment are misaligned
Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that:
- Services will be uninterrupted or error-free
- Results will meet your expectations
- Infrastructure will never experience deliverability issues
We deploy infrastructure based on industry best practices but cannot guarantee outcomes.
Indemnification
You agree to indemnify and hold ScaledGTM harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Your violation of laws or regulations
- Your messaging, positioning, or campaign content
- Disputes with prospects or customers resulting from your outreach
Force Majeure
We are not liable for delays or failures due to circumstances beyond our control, including:
- ESP policy changes or shutdowns
- Changes in email deliverability standards
- Internet outages or technical failures
- Government regulations or legal restrictions
Termination
Either party may terminate:
- With written notice
- Immediately for material breach of these terms
Upon termination:
- You retain all infrastructure and data
- Outstanding fees remain due
- No refunds are provided for unused time
- We delete our copies of your data upon request
Dispute Resolution
Arbitration: Any disputes will be resolved through binding arbitration rather than court litigation.
No Class Actions: You agree to resolve disputes individually, not as part of a class action.
Changes to Terms
We may update these Terms of Service periodically. Continued use of services after changes constitutes acceptance of new terms.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and ScaledGTM.
